Software subscription terms
Updated
These terms apply when a firm subscribes to Instrukt practice software. Instrukt is a trading name of JG Core Ltd, a company registered in England & Wales (company number 16218779), registered office C/O Burton Varley Ltd, The Counting House, 24 Richmond Road, Bowdon, Altrincham, WA14 2TT, England. “You” means the firm or business that subscribes.
Who can subscribe
Subscriptions are for businesses, for use in their business. You confirm that the person subscribing can agree these terms for you.
The service
Instrukt is practice-management software: matters, deadlines, documents, records and a client portal. We set up your firm's account within one working day of your first payment. We keep improving the software and may change features; if we remove something you rely on, we'll tell you at least 30 days before.
The software helps you run your files; it does not give legal advice, and dates and figures it works out are aids for your fee earners to check. Instrukt never receives, holds or moves client money. It can help you keep records of money in your own client account, and you stay responsible for meeting the SRA Accounts Rules.
Price and payment
The Practice plan is £79 per fee earner a month. You pay monthly in advance by card through Stripe, from the day you subscribe. No VAT is added: JG Core Ltd isn't VAT-registered. To change the number of fee earners, email hello@instrukt.co.uk; the new number applies from your next payment. We give at least 30 days' notice of a price change. If a payment fails and isn't made good within 14 days, we may suspend access until it is.
Cancelling, and no refunds
Your subscription runs month to month with no minimum term. You can cancel at any time by emailing hello@instrukt.co.uk. Cancelling stops the next renewal: you keep access until the end of the month you have paid for, and you aren't charged again. We don't refund or credit the month you have already paid for, in whole or in part, except where the law requires it.
When your subscription ends we'll export your data for you on request, and delete it 90 days after the end unless you ask us to delete it sooner or the law requires us to keep it.
Your clients' data
You decide what personal data goes into Instrukt and why: you are the controller and we are your processor. We will:
- process it only to provide the software and on your documented instructions, including these terms;
- make sure everyone who can access it is bound by confidentiality;
- keep it secure, with access controls, encryption in transit and a full history of changes;
- use only these sub-processors: Vercel (hosting), Supabase (database, London), Resend (email) and, for AI features, Anthropic, which receives documents only with names, addresses and other identifiers removed first. We'll tell you before adding or replacing one, so you can object;
- help you answer requests from people exercising their data rights, and with security and data protection impact assessments;
- tell you without undue delay after becoming aware of a personal data breach;
- return or delete the data when the subscription ends, as above;
- give you the information you need to show these obligations are met, and allow reasonable audits.
These commitments are the contract required by Article 28 of the UK GDPR. You are responsible for having a lawful basis for the data you put in and for telling your clients how you use it.
Using the software
Keep your log-in details secure and give access only to your own staff. Don't use the software unlawfully, try to break its security, or resell it.
Our liability
Our total liability to you in any 12 months is limited to the fees you paid in those 12 months. We aren't liable for loss of profit, revenue, business or goodwill, or for any indirect loss. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
Law
These terms are governed by the law of England and Wales, and its courts deal with any dispute.
